SMITHERS-OASIS LINKING APPLICATION

Linking to Smithers-Oasis Company sites is granted by express permission only. Such requests are considered on a case-by-case basis after the following application is completed and the applicant agrees to abide by the terms stated in the Link Agreement. Applicants will be notified electronically whether their request to link has been accepted and, at which time, the successful applicant will be provided electronically with a Smithers' OASIS® link logo to utilize for linking purposes.

In order for the application to be processed, applicant must agree to the terms of the Link Agreement by selecting "Agree" at the end of the Link Agreement.

LINK AGREEMENT

OWNERSHIP
The OASIS® mark is protected throughout the world by Smithers-Oasis Company, the owner of the mark. All use of the OASIS® mark inures to the benefit of Smithers. No rights in the OASIS® mark are acquired by Applicant other than the use rights described herein.

USE
The OASIS® link logo must be used by itself and not in combination with other matter. The OASIS® logo must be used with a registration symbol ® immediately adjacent to it. No alterations are permitted to be made to the logo. The logo is to be used as a link button only and may not be used to imply sponsorship, endorsement or license by Smithers. The link may only be a single active link by applicant to the Smithers' homepage at www.smithersoasis.com.

QUALITY STANDARDS
Applicant will not use the OASIS® link logo in association with subject matter that, in Smithers sole discretion, would cast the logo and or Smithers in any unfavorable light. Smithers will review Applicant's usage annually to ensure proper usage of the OASIS® link logo. Applicant will amend its style of use of the OASIS® link logo when advised by Smithers to do so.

RENEWAL/TERMINATION
This Agreement shall renew automatically every December 31, unless either party shall advise the other electronically at any time of their intention not to renew, or to terminate. Upon non-renewal or termination, Applicant agrees to cease all use of the OASIS® link logo and the link to the Smithers' site.
